Kralvitz Consulting Ltd provides strategic consulting, organizational development, and business advisory services. All content, materials, and deliverables created by Kralvitz Consulting Ltd, including reports, strategies, frameworks, and recommendations, are protected by copyright and intellectual property laws. Unless otherwise specified in a separate service agreement, all work product remains the property of Kralvitz Consulting Ltd. Clients are granted a non-exclusive, non-transferable license to use materials for their internal business purposes only.
You retain ownership of any materials, information, or data you provide to us ("Client Materials"). By providing Client Materials, you grant us a license to use, modify, and analyze such materials solely for the purpose of delivering our services and improving our offerings.
We treat all client information and business communications as confidential. We will not disclose your confidential information to third parties without your express written consent, except as required by law or court order. Similarly, we expect clients to maintain confidentiality regarding our proprietary methodologies, processes, and recommendations.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) is rightfully received by the receiving party from a third party without confidentiality obligations; (c) is independently developed without reference to the disclosing party's confidential information; or (d) is required to be disclosed by law or regulatory authority.
Service fees are as outlined in the applicable service agreement, proposal, or invoice. Payment terms are typically net 30 days from the invoice date unless otherwise specified. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
We reserve the right to suspend services if payment is more than 30 days overdue. Expenses, including travel, materials, and third-party fees, are billed separately as incurred unless otherwise agreed in writing.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KRALVITZ CONSULTING LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability for any claim arising from or related to these Terms or our services shall not exceed the fees paid by the client in the 12 months preceding the claim. This limitation applies whether liability is based on contract, tort, strict liability, or any other legal theory.
Our services and recommendations are provided on an "as-is" basis. While we strive to provide accurate and professional guidance, we do not guarantee specific business outcomes or results. Business success depends on many factors beyond our control, including market conditions, client implementation, and external circumstances.
We do not provide legal, tax, accounting, or financial advisory services. For such services, please consult with qualified professionals in those respective fields. Our strategic recommendations should not be considered a substitute for professional legal, financial, or tax advice.
You agree to indemnify, defend, and hold harmless Kralvitz Consulting Ltd and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of applicable laws or regulations; or (d) your infringement of third-party rights.
Service engagements commence on the date specified in the service agreement and continue for the agreed-upon term unless earlier terminated. Either party may terminate an engagement with written notice as specified in the service agreement, typically 30 days' notice. Upon termination, you remain responsible for payment of all services rendered and expenses incurred up to the termination date.
We are committed to protecting your personal data in compliance with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada and other applicable regulations. Our collection, use, and processing of personal information is governed by our Privacy Policy.
When you provide personal data to us, you acknowledge that such data may be processed for service delivery purposes. We implement appropriate technical and organizational measures to protect personal information from unauthorized access, alteration, or loss.

You represent and warrant that: (a) you have the authority to enter into these Terms; (b) your use of our services complies with all applicable laws; (c) you have obtained all necessary consents to provide us with Client Materials; and (d) your Client Materials do not infringe on third-party rights.
We represent and warrant that we will perform services in a professional and workmanlike manner consistent with industry standards. However, we do not warrant that our services will achieve any specific business result or outcome.
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for the resolution of any disputes.
Before initiating legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. If negotiation fails, the parties may agree to mediation or arbitration. The prevailing party in any legal action may be entitled to recover reasonable legal and court costs.
We reserve the right to modify these Terms at any time. Changes become effective upon posting to our website. Your continued use of our services following any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms regularly to stay informed of any updates.
If any provision of these Terms is deemed invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect.
These Terms, together with any service agreement, privacy policy, and other documents explicitly incorporated by reference, constitute the entire agreement between you and Kralvitz Consulting Ltd regarding your use of our services. These Terms supersede all prior negotiations, representations, and agreements, whether written or oral.
